Agreement to Terms

By accessing or using AiSpendTrack (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access the Service.

Description of Service

AiSpendTrack is a proxy service that tracks your OpenAI and Anthropic API usage and costs. You route your API calls through our proxy, and we provide:

  • Real-time cost tracking
  • Usage analytics
  • Cost alerts
  • Dashboard and reporting

Eligibility

You must be:

  • At least 18 years old
  • Capable of forming a binding contract
  • Not barred from using the Service under applicable law

If using the Service on behalf of an organization:

  • You represent that you have authority to bind that organization
  • References to “you” include both you and the organization

Account Registration

Creating an Account:

  • Provide accurate, current information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • You are responsible for all activity under your account

Account Security:

  • Choose a strong password
  • Enable two-factor authentication (recommended)
  • Don’t share your API key
  • Don’t share account credentials

Account Termination: You may delete your account at any time: Settings → Delete Account.

We may suspend or terminate your account if:

  • You violate these Terms
  • We detect fraudulent or abusive activity
  • Required by law
  • We discontinue the Service (with 30 days notice)

Use of Service

Acceptable Use

You may use the Service to:

  • Track your OpenAI and Anthropic API costs
  • Analyze your AI usage patterns
  • Monitor your AI spending
  • Generate reports and analytics

Prohibited Use

You may NOT:

  • ❌ Violate any laws or regulations
  • ❌ Infringe on intellectual property rights
  • ❌ Attempt to reverse engineer the Service
  • ❌ Use the Service to harm minors
  • ❌ Transmit malware or malicious code
  • ❌ Attempt unauthorized access to our systems
  • ❌ Interfere with the Service’s operation
  • ❌ Scrape or harvest data from the Service
  • ❌ Resell or redistribute the Service
  • ❌ Use the Service for illegal purposes
  • ❌ Abuse rate limits or attempt DDoS attacks
  • ❌ Create multiple accounts to abuse free tier

Consequences: Violation may result in immediate account suspension or termination.

API Usage

Your OpenAI/Anthropic Keys

  • You provide your own OpenAI or Anthropic API keys
  • You are responsible for your API usage and costs charged by OpenAI/Anthropic
  • We do not store your API keys
  • You remain subject to OpenAI’s and Anthropic’s terms of service

Rate Limits

We enforce rate limits:

  • Free tier: 1,000 requests/hour, 10,000/month
  • Pro tier: 10,000 requests/hour, unlimited/month
  • Enterprise: Custom limits

Exceeding limits results in 429 responses. Repeated abuse may result in account suspension.

Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service.

Planned Maintenance:

  • Scheduled during low-traffic periods
  • Announced 48 hours in advance
  • Typically <1 hour duration

Unplanned Downtime:

  • We’ll work to restore service ASAP
  • Status updates: status.aispendtrack.com 
  • No SLA for free tier
  • SLA available for Pro and Enterprise

Free Tier:

  • $0/month
  • 10,000 API calls/month tracked
  • 7-day data retention

Pro Tier:

  • $149/month
  • Unlimited API calls
  • 90-day data retention
  • Advanced features

Enterprise:

  • Custom pricing
  • Contact sales

Payment Terms

Billing Cycle:

  • Monthly or annual billing
  • Charged in advance
  • Automatic renewal unless cancelled

Payment Method:

  • Credit/debit card via Stripe
  • Wire transfer (Enterprise only)

Taxes:

  • Prices exclude applicable taxes
  • You’re responsible for all taxes

Failed Payments:

  • We’ll retry 3 times
  • Service may be suspended after 3 failed attempts
  • Account may be downgraded to free tier

Refunds

Pro Tier:

  • 14-day free trial (first time subscribers)
  • No refunds after trial period
  • Cancellation takes effect at end of billing period

Enterprise:

  • Custom refund terms in contract

Exceptions: We may provide refunds at our discretion for:

  • Service outages >24 hours
  • Billing errors
  • Other exceptional circumstances

Price Changes

We may change prices with 30 days notice:

  • Email notification
  • Dashboard notification
  • Existing subscribers grandfathered for 3 months

Intellectual Property

Our IP

All content, features, and functionality are owned by AiSpendTrack:

  • Software and code
  • Logos and branding
  • Dashboard designs
  • Documentation
  • Trade secrets

You may not:

  • Copy, modify, or distribute our IP
  • Reverse engineer the Service
  • Create derivative works
  • Remove copyright notices

Your IP

You retain all rights to:

  • Your data and content
  • Your API keys
  • Your application code

By using the Service, you grant us:

  • License to process your data to provide the Service
  • License to use aggregated, anonymized data for analytics
  • License to display your logo (with permission) as a customer

Data and Privacy

Data Collection

We collect and process:

  • Account information (email, name)
  • API call metadata (model, tokens, cost, latency)
  • Usage data (IP, browser, device)

We do NOT collect:

  • Your prompts to AI models
  • AI responses
  • Content you create

Data Security

We implement:

  • TLS 1.3 encryption (in transit)
  • AES-256 encryption (at rest)
  • SOC 2 Type II infrastructure
  • Regular security audits

However, we cannot guarantee absolute security. You use the Service at your own risk.

Data Ownership

Your Data: You own all data you provide. We process it to provide the Service.

Our Data: We own aggregated, anonymized analytics data.

Data Deletion

You may request account deletion at any time:

Data is deleted within 30 days (GDPR compliance).

Third-Party Services

We integrate with:

  • OpenAI (you use their API)
  • Anthropic (you use their API)
  • Stripe (payment processing)
  • Clerk (authentication)

You agree to their respective terms of service:

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION

In plain English: We’ll do our best, but we can’t guarantee the Service will work perfectly all the time.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AISPENDTRACK SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, DATA, OR GOODWILL
  • SERVICE INTERRUPTIONS OR ERRORS
  • DAMAGES EXCEEDING AMOUNT PAID IN LAST 12 MONTHS

In plain English: If something goes wrong, the most you can recover from us is what you paid us in the last year.

Exceptions: This limitation doesn’t apply to:

  • Gross negligence or willful misconduct
  • Death or personal injury
  • Fraud
  • Anything that can’t be limited by law

Indemnification

You agree to indemnify and hold harmless AiSpendTrack from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Your content or data

In plain English: If you do something that gets us sued, you’ll cover it.

Dispute Resolution

Governing Law

These Terms are governed by the laws of India, without regard to conflict of law provisions.

Arbitration

Any disputes will be resolved through binding arbitration in Bengaluru, India, except:

  • Small claims court disputes (<₹500,000)
  • Intellectual property disputes
  • Injunctive relief

Arbitration Rules:

  • Indian Arbitration and Conciliation Act, 1996
  • Single arbitrator
  • English language
  • Costs split equally

Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

Exceptions

Nothing prevents either party from:

  • Seeking emergency injunctive relief
  • Protecting intellectual property
  • Complying with legal obligations

Modifications to Terms

We may modify these Terms at any time.

Notice:

  • Email notification
  • Dashboard notification
  • 30 days before effective date

Material Changes:

  • Additional notice period
  • Option to terminate if you disagree

Continued Use: Continuing to use the Service after changes constitutes acceptance.

Termination

By You

You may terminate at any time:

  • Cancel subscription (Settings → Billing)
  • Delete account (Settings → Delete Account)

By Us

We may terminate if:

  • You violate these Terms
  • We detect abuse or fraud
  • Required by law
  • We discontinue the Service (30 days notice)

Effect of Termination

Upon termination:

  • Your access ends immediately
  • Data deleted within 30 days
  • Fees for current period non-refundable
  • Backup data removed from all systems

You may export your data before termination.

General Provisions

Entire Agreement

These Terms, plus Privacy Policy and any Order Forms, constitute the entire agreement.

Severability

If any provision is found invalid, the remaining provisions continue in effect.

Waiver

Failure to enforce a right doesn’t waive that right.

Assignment

You may not assign these Terms. We may assign to:

  • Affiliates
  • Acquirers in a merger
  • Other successors

Force Majeure

We’re not liable for delays due to circumstances beyond our control:

  • Natural disasters
  • War or terrorism
  • Government actions
  • Internet outages
  • Provider failures

Survival

These sections survive termination:

  • Payment obligations
  • Intellectual Property
  • Disclaimer of Warranties
  • Limitation of Liability
  • Indemnification
  • Dispute Resolution

Updates to Service

We may:

  • Add new features
  • Modify existing features
  • Discontinue features (with notice)
  • Change system requirements

We’ll notify you of material changes.

Export Control

You agree to comply with all export laws. You may not use the Service if:

  • Located in an embargoed country
  • On a restricted party list
  • Using for prohibited end uses

Feedback

If you provide feedback or suggestions:

  • We may use them without obligation
  • You grant us perpetual, royalty-free license
  • No compensation owed
